1. Introduction
These terms govern your use of the Enodo website and services. Enodo provides an AI-powered agentic workflow that automates the quoting and bidding process for engineering and manufacturing companies. By using our website or services, you agree to these terms.
2. Services
Enodo provides AI-assisted quote and bid generation for manufacturers, fabricators, and engineering companies. Our workflow processes RFQ information using company-specific profiles (capabilities, rates, suppliers, and preferences) to produce draft quotes for human review and approval. Enodo is a decision-support tool. All quotes require human review before submission to customers. We do not guarantee the accuracy of AI-generated outputs and you are responsible for reviewing and approving all quotes before use.
3. Account and access
Access to Enodo may require registration. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information during registration and to notify us promptly of any unauthorised access.
4. Your data and content
You retain ownership of all data you submit to Enodo, including RFQ documents, company profiles, rates, and other business information. You grant Enodo a limited licence to process this data solely for the purpose of providing our services to you. We do not use your proprietary business data to train general-purpose AI models or share it with other customers.
5. Acceptable use
You agree not to use Enodo for any unlawful purpose, attempt to reverse-engineer, copy, or extract the underlying AI models or workflows, or resell access to Enodo without our written consent.
6. Fees and payment
Pricing is agreed on a per-customer basis depending on company size, quoting volume, and workflow complexity. Payment terms will be set out in a separate agreement or order form. We reserve the right to update pricing with reasonable notice.
If any invoice remains unpaid beyond the agreed payment terms, we reserve the right to suspend access to the service until payment is received. Interest on late payments may be charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
7. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by the laws of England and Wales.
Enodo is provided "as is" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Enodo shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service, including but not limited to lost profits, lost business, or inaccurate quotes. Our total liability for any claim shall not exceed the fees you paid to Enodo in the 12 months preceding the claim.
8. Intellectual property
All intellectual property in the Enodo platform, including the AI models, workflows, interface, and documentation, belongs to Enodo. Nothing in these terms transfers any IP rights to you beyond the limited licence to use the service.
9. Termination
Either party may terminate the service with 30 days written notice. We may suspend access immediately if you breach these terms. On termination, we will provide a 30-day window following termination for you to export your data, after which it will be permanently deleted.
10. Force majeure
Neither party shall be liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to third-party service outages, internet disruptions, acts of government, natural disasters, or failures of upstream AI or cloud infrastructure providers.
11. Dispute resolution
Before initiating any court proceedings, both parties agree to attempt to resolve any dispute arising from these terms through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, either party may proceed to the courts of England and Wales as set out in the governing law section.
12. Indemnification
You agree to indemnify and hold Enodo harmless from any claims, losses, or damages arising from data you upload to the platform that you do not have the right to use, or from your use of AI-generated quotes without appropriate human review.
13. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to these terms
We may update these terms from time to time. Continued use of Enodo after changes are posted constitutes acceptance of the revised terms.
